Commercial Real Estate Attorney

Downtown Sarasota law firm seeks an experienced Commercial Real Estate Attorney (mid-level or senior level). The ideal candidate will have 5-7 years of transactional law firm experience as follows:

  • Proficiency with title and survey matters;
  • Experience handling title closings;
  • Strong drafting skills — primarily in commercial real estate transactions — i.e., drafting and negotiating Purchase & Sale Agreements, Commercial Leases (e.g., office, retail, industrial, and ground leases), Condominium Documents, Subdivision/HOA Documents, Easement Agreements, Option Agreements, etc.;
  • Some experience with 1031 exchanges and FIRPTA matters.

Other transactional practice (non-real estate) is also helpful such as,

Lender Representation – i.e., loan document preparation for real estate lenders (e.g., drafting and negotiating Promissory Notes, Mortgages, Loan Agreements, Security or Pledge Agreements, Guaranties, etc.); loan purchase agreements (bank-to-bank); loan participation agreements; etc.

Corporate Work (e.g., Entity Formation, Operating Agreements, Shareholder Agreements, Partnership Agreements, Stock/Membership Interest Transfers, etc.);

Business Purchases, including drafting and negotiating Asset Purchase Agreements, Stock Purchase Agreements, Lease Assignments, Non-Compete Agreements, Employment Agreements, Tradename License Agreements; and handling the actual business closings (including working with SBA lenders);

Secured Transactions – loan document preparation for loans secured by UCC liens on non-real estate assets (e.g., furniture, fixtures, equipment, receivables, leases, trademarks, inventory, etc.).

Technology – Commercial Real Estate Attorney

Proficiency with MS Word, Outlook, and real estate closing software is needed. The Firm uses Qualia, an integrated cloud-based platform to create Settlement Statements and order title searches, surveys, lien searches, etc.; Qualia experience preferred, but experience with older non-integrated software systems (e.g., Closer’s Choice, Double Time) is also acceptable.

With over 30 years of experience in the Sarasota and neighboring real estate markets, the Firm’s client base includes commercial real estate developers, investors, buyers, sellers, lenders, residential buyers (title work), realtors, business purchasers and sellers, banks and private lenders, and business owners.

The commercial real estate attorney will have direct client contact. There is definitely growth potential for any candidate. It is encouraged if an attorney wants to be entrepreneurial, but it’s not required. An attorney’s individuality is valued and respected. Additionally, they are a family-oriented culture where everybody chips in and help each other. The environment is more laid-back than corporate.

Attorneys are expected to work in the office, and this is not a remote job. However, the Firm is flexible if people need time away for personal responsibilities or networking. Nobody “punches a time clock.” They just expect attorneys to be professional and figure out how to get their work done.

Benefits offered in addition to compensation are healthcare and a SEP retirement plan.
